Terms of Service
Code Wize Technologies, LLC · Updated: November 2026
These Terms of Service govern your use of the codewize.co website and any services provided by Code Wize Technologies, LLC ("Code Wize," "we," or "us"), a Florida limited liability company based in Pembroke Pines, Florida. By using our website or engaging our services, you agree to these terms.
1. Services
Code Wize provides IT support, network and security services, cloud and email management, VoIP phone systems, custom software development, and related technology services. Our on-site services are available exclusively within Miami-Dade County and South Broward County, Florida. Remote services may be available outside this area at our discretion.
All service engagements are governed by a separate service agreement or proposal signed by both parties. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls.
2. Website Use
You may use codewize.co for lawful purposes only. You agree not to:
- Use the website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of our website or systems
- Submit false, misleading, or fraudulent information through any contact form
- Transmit any malicious code, viruses, or disruptive content
We reserve the right to restrict or terminate access to the website for any person who violates these terms.
3. Consultations and Inquiries
Submitting a contact form or booking a consultation does not create a binding service agreement. No engagement begins until both parties have executed a written proposal or service agreement. Discovery requirements and any engagement terms are agreed separately. Submitting an inquiry does not automatically book a consultation.
4. Payment
Fees for services are set forth in the applicable proposal or service agreement. Payment is processed through Stripe. Invoices are due upon receipt unless otherwise specified in writing. Late payments may result in suspension of services.
Project milestones, licenses, maintenance responsibilities, exclusions, and payment terms are defined in the private proposal or service agreement. Additional work requires separate agreement.
5. Intellectual Property
All content on codewize.co — including text, design, logos, and graphics — is the property of Code Wize Technologies, LLC and may not be reproduced or used without our prior written permission.
For custom software projects, ownership of the delivered work product transfers to the client upon receipt of full payment, unless otherwise specified in the project agreement. We retain the right to use general methodologies, tools, and know-how developed during projects for future engagements.
6. Confidentiality
Both parties agree to keep confidential any proprietary business information shared during the course of an engagement. This includes client business processes, data, and systems, as well as our internal pricing, tools, and methods. Confidentiality obligations survive the termination of a service relationship.
7. Limitation of Liability
To the fullest extent permitted by Florida law, Code Wize's total liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if we have been advised of the possibility of such damages. We are not responsible for failures caused by third-party hardware, software, internet service providers, or circumstances outside our reasonable control.
8. No Warranty
Our website is provided "as is" without warranties of any kind. We do not warrant that the website will be uninterrupted, error-free, or free of viruses. We make reasonable efforts to keep information on our website current and accurate but do not guarantee its completeness.
9. Indemnification
You agree to indemnify and hold harmless Code Wize Technologies, LLC and its personnel from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of our website or services, your violation of these terms, or your violation of any third-party rights.
10. Governing Law
These Terms are governed by the laws of the State of Florida. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Broward County, Florida, and both parties consent to jurisdiction and venue in those courts.
11. Changes to These Terms
We may update these Terms from time to time by posting a revised version on our website with an updated effective date. Continued use of our website after changes are posted constitutes acceptance of the revised Terms.
